Perfect. Since your billing terms are flexible and depend on individual customer contracts, we will frame the Terms of Service to reflect that specific custom agreements (like a signed Quote or Master Services Agreement) will override or supplement these standard terms.
Here is the updated, legally tailored version for your platform.
Effective Date: June 8, 2026
Welcome to Work Live. These Terms of Service ("Terms") govern your access to and use of our website, applications, and services, specifically our Google Workspace license provisioning and management tool (the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
Work Live provides an automated platform enabling users to order, add, and manage Google Workspace subscription licenses for their organization's tenant. Work Live acts as an authorized intermediary/reseller and is not affiliated directly with Google Inc. beyond standard partner/developer relations.
Eligibility: You must have administrative privileges over your organization’s Google Workspace tenant to link our Service and add licenses.
Account Responsibility: You are entirely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
Permissions: By linking your Google Workspace tenant to Work Live, you grant us the necessary API permissions required strictly to provision and manage your licenses as requested.
Custom Commercial Terms: Pricing, billing frequency (e.g., monthly, annually), and payment methods are determined individually and depend entirely on the specific contract, quote, or agreement established between Work Live and the customer.
Payment Obligation: You agree to pay all fees associated with the number of Google Workspace licenses ordered through our Service in accordance with your specific contractual payment terms.
Google's Terms: Google Workspace licenses purchased through Work Live are subject to Google's own Core Terms of Service. Any violation of Google’s terms may result in the suspension of your licenses.
Contractual Commitment: The specific commitment duration, terms for reducing license counts, and cancellation notice periods are governed strictly by the individual contract signed between Work Live and the customer.
Effect of Termination: Upon termination of your contract or service agreement, your ability to add or manage licenses through the Work Live interface will be revoked, subject to the transition clauses defined in your specific contract.
Your privacy is important to us. As outlined in our Privacy Policy, we practice strict data minimization. We only collect your email address to manage your subscription. We do not store, access, or harvest your organizational data or emails from your Google Workspace tenant.
To the maximum extent permitted by law, Work Live shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or service interruptions caused by Google Workspace downtime, API failures, or tenant misconfigurations on the user's end.
These Terms, and any dispute arising out of or in connection with them, shall be governed by and construed in accordance with the laws of France.
Any dispute, controversy, or claim arising out of or relating to these Terms, including their validity, invalidity, breach, or termination, which cannot be resolved amicably, shall be submitted to the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de Commerce de Paris).
We reserve the right to modify these Terms at any time. If changes are made, we will update the date at the top of this document. For clients with active custom contracts, those custom agreements will remain legally dominant over general web terms unless specified otherwise.
This document is now ready to be linked on your application footer or sign-up page! Let me know if you need any other legal texts generated, like a Cookie Policy (though since you don't track anyone, a simple line in your Privacy Policy usually covers it perfectly).
